Robert is a shareholder in GrayRobinson’s Orlando office. He is an AV rated attorney with a Martindale Hubbell recognition in Healthcare. For over 32 years, Robert has concentrated his practice in the areas of health care, including healthcare systems, compliance, contracting, HMO mergers, acquisitions, and divestitures. Robert also serves clients in all phases of real estate transactions, development and commercial dealings. Robert has served as outside General Counsel for a large Florida HMO and has represented numerous HMO’s with respect to creation of compliant physician networks, hospital and payor contracting and downstream physician/ MSO compensation limitations. Robert has also served as outside General Counsel for an independent Central Florida hospital prior to its acquisition by one of the large hospital systems in the region. Robert has also created IPA’s, physician roll-ups, and taken an HMO through regulatory supervision by OIR, criminal investigations by the FBI and sale of a state wide HMO to a national plan. Robert has had decades of interaction with other national plans, both as to MSO acquisitions to direct contracting with local and statewide leaders within the plan organization.

Representative Experience
  • Represented large Managed Care Organization through OIR, CMS and FBI investigations, after Consent Order from OIR and closure of marketing by AHCA and CMS. Negotiated a regulatory oversight as opposed to a shut down and take over by DFS with closure of plan and runout. Kept company open for two years while ran process to all major plan acquirers. Negotiated and closed sale of plan to a national Health Care Plan.
  • General Counsel for largest Central Florida MSO for all transactional, regulatory and compliance matters.
  • Represented large outpatient diagnostic company owned by non-physician. Handled acquisitions, AHCA licensure of clinics, network contracting, and sale.
  • Represented officer and director defendants in the federal investigation and civil litigation of national HMO.
  • Represented defendants in several Qui Tam ‘Whistleblower’ actions and officer and director exclusion action.
  • Represented Florida based HMO startup in their dispute and negotiations with large Orlando hospital system to put hospital in PSN in order to bid on MMA and LTC for Central Florida.
  • Represented 46 cardiologist IPA in creating alternative fee programs for nationwide insurer.
  • General Counsel for independent hospital system in Central Florida
Regulatory & Transactional Law

Robert has served as outside General Counsel for a local independent hospital and over saw its regulatory compliance as well as its bond issues, medical tower expansion, additional site acquisition and related clinic development. Robert has performed services for new HMO plans as they seek to expand into the state by creating CMS compliant networks. Robert has represented large medical organization against the Department of Justice and Qui Tam litigants, as well as the constituent officers and directors against whom OIG sought to exclude from Federal Healthcare Programs. Robert has negotiated, purchased and sold healthcare plans, MSO’s, physician practices. Robert has taken several healthcare related companies through the investment banking process and has lectured extensively to investment banks, commercial lenders, health plans and physician groups on managed care, the Affordable Care Act and health care changes. Robert formed the first Accountable Care Organization in Central Florida under the shared savings provisions of ACA.
