Darin has extensive experience spanning more than 15 years representing clients whose needs include solutions to federal and state health care regulatory compliance issues, tax-exempt bond financing, and numerous corporate law issues.
Health Care. Darin assists clients in navigating the complex and ever-changing federal and state health care regulatory environment in such areas as Anti-kickback, Stark, HIPAA, EMTALA, Medicare and Medicaid compliance, state patient self-referral laws, state patient brokering laws, and patient end-of-life issues. Darin's clients are health care providers such as hospitals, physicians, nursing homes, home health agencies, and health care clinics. Darin helps clients meet their goals by structuring practical solutions to regulatory challenges.
Bond Financing Transactions. Darin has extensive experience in representing clients in bond financing transactions including new issues, reissuances, refundings, and other restructurings. Darin has extensive experience in due diligence review, identifying bondholders' risks, and required EMMA disclosures. Darin has been involved in many types of financings including newly invented health care participating bond transactions. Darin's clients include various national and local not-for-profit organizations that are issuing new debt or restructuring existing debt. Darin has represented clients in over $3 billion of bond financings and restructurings between 2007 and 2009 alone. In addition, Darin has experience in HUD guaranteed mortgage financing and affordable housing.
Corporate Law. Darin assists clients in numerous corporate transactions including purchasing and selling businesses, applying for and maintaining federal income tax exemption status, applying for and maintaining property tax exemption, analyzing excess private benefit transaction issues, not-for-profit corporation setup, joint venture set up, and contracting issues. Darin routinely drafts and reviews contracts, purchase and sale agreements, management agreements, letters of intent, opinion letters, and advice memoranda.
Darin earned his law degree from the University of Florida in 1994 and, combined with his certified public accountant certification, practiced in the area of tax. In addition, Darin practices in the areas of corporate law, health care, and public finance.
Darin previously served as corporate counsel for a national not-for-profit healthcare system with gross revenue exceeding $7 billion and has been a member of several medical ethics committees.
